4. Cryptocurrency Payment Disclaimer
MaxCap Construction LLC accepts cryptocurrency payments processed through Coinbase Commerce. The following terms apply to all cryptocurrency transactions:
• All project contracts are denominated and legally enforceable in U.S. Dollars (USD). Cryptocurrency payment amounts are calculated at the prevailing USD/crypto exchange rate at the time of invoice generation, as determined by Coinbase Commerce.
• Payments are deemed received and confirmed only upon successful blockchain network settlement. MaxCap Construction LLC is not responsible for delays caused by blockchain network congestion, transaction confirmation times, or third-party platform outages.
• MaxCap Construction LLC is not a financial institution, cryptocurrency exchange, broker-dealer, or investment advisor. Acceptance of cryptocurrency as payment does not constitute financial advice or endorsement of any digital asset.
• Clients are solely and exclusively responsible for all tax reporting obligations arising from cryptocurrency transactions, including but not limited to capital gains, ordinary income, and applicable state and local taxes, pursuant to IRS Notice 2014-21 and applicable New York State guidance.
• Exchange rate fluctuations between invoice generation and payment processing are the client's responsibility. MaxCap Construction LLC will not adjust contract amounts based on post-invoice rate changes.
• MaxCap Construction LLC is not liable for losses arising from blockchain errors, wallet errors, incorrect wallet addresses, or Coinbase Commerce platform failures attributable to third-party service providers.
